ARC Group was formed in 2001 and has focused on transforming people’s lives with their career expertise. Over the past few years, ARC has concentrated on training and recruiting home care workers to support the aging demographic and those living with a disability. ARC has established several business units, including ARC Training.
ARC Training is a key business unit that provides training services. After 21 years of dedicated service and impactful education delivery, the vendor, Cameron Ryan, sought a new owner for ARC Training that shared its vision and values. The strategic objective behind the sale was to allow the vendor to crystalise value in ARC Training and focus on growing his other portfolio businesses.
Greenwich Advisory’s partnership with ARC began in 2019, during which Greenwich supported the group with various strategic and capital initiatives. Greenwich’s deep understanding of ARC’s business and the market landscape positioned them as the ideal advisor to facilitate this pivotal next step in ARC Training’s journey.

Our Approach
In 2024, ARC engaged Greenwich to act as the exclusive sell-side advisor for the sale of ARC Training. Greenwich’s role encompassed several key stages to ensure a smooth and successful transaction:

Preparation
Greenwich assisted ARC in preparing a short form pitch deck and a one-page investment summary to effectively market the ARC Training business to potential acquirers. This included developing an investment financial model to provide forecast projections and indicative valuations, incorporating growth opportunities identified in the earlier strategic review.

Targeted Marketing
Greenwich worked closely with ARC to identify and agree on a list of target acquirers and liaised with key contacts at these potential acquirers. Greenwich managed the process of information exchange, distributing marketing materials, and engaging with interested parties.

Transaction Management
Greenwich organised management presentations between ARC and approved buyers, facilitated the review of Expressions of Interest (EOIs), and assisted ARC in shortlisting potential acquirers for further discussions.

Negotiation and Due Diligence
Greenwich played a crucial role in assisting ARC with the negotiation of key investment terms and selecting the most attractive offer. Greenwich also supported ARC through the acquirer’s due diligence process, such as setting up an electronic data room to facilitate information exchange and managing the Q&A process.

Execution
Greenwich assisted ARC in the execution of the definitive legal agreements, ensuring a smooth and successful transaction.
Outcome
Greenwich’s expertise and dedication culminated in the successful sale of ARC Training to Catalyst Education. This transaction delivered an exceptional outcome for ARC Group, allowing the vendor to realise the value of the ARC Training business and focus on other ventures. Catalyst Education emerged as the perfect fit, ensuring the continued growth and positive impact of ARC Training’s mission.
